Terms of Service

These Terms govern your access to and use of Planoda (the "Service"), which is operated by APIDLY LTD, a company registered in England and Wales under company number 17042735, with its registered office at 82a James Carter Road, Mildenhall, Bury St Edmunds, Suffolk, IP28 7DE, United Kingdom ("we", "us"). "Planoda" is a trading product of APIDLY LTD. By accessing the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Accounts

You must register an account to use the Service. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to notify us immediately of any unauthorized use.

2. Subscription & billing

Paid subscriptions are billed in advance on a recurring monthly or annual basis and renew automatically until cancelled. Prices are shown and charged in US dollars (USD) unless stated otherwise on the pricing page. Seat-based plans are charged per active member; usage-based charges (such as AI usage beyond your included allowance) are billed in arrears for the period in which they are incurred. You authorize us, and our payment processor Stripe, to charge the payment method on file for all applicable fees and taxes. Charges appear on your card or bank statement as “PLANODA”. Plan upgrades are prorated to the day; downgrades take effect at the end of the current billing period. Refunds and cancellations are governed by our Refund & Cancellation Policy.

3. Acceptable use

You may not use the Service to:

• violate any law or regulation;
• infringe intellectual-property rights;
• transmit malware, spyware, or other malicious code;
• attempt to gain unauthorized access to other tenants' data or our infrastructure;
• reverse-engineer, decompile, or otherwise extract source code;
• resell or sub-license the Service without our written consent.

4. Data ownership

You retain all rights to the content you upload. You grant us a limited, worldwide, royalty-free license to host, process, transmit, and display your content solely to operate the Service on your behalf. We do not use your content to train models and do not share your content with third parties for training purposes.

5. Termination

You may cancel at any time from the Billing settings page; we will not bill you again after cancellation. We may suspend or terminate accounts that materially violate these Terms, with at least 30 days' notice where practicable. On termination we will provide a JSON export of your workspace data on request for 30 days.

6. Warranty disclaimer

The Service is provided "AS IS" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

7. Limitation of liability

To the maximum extent permitted by law, our aggregate liability for any claim arising out of these Terms is limited to the fees you paid in the twelve months preceding the claim. In no event will we be liable for any indirect, incidental, special, consequential, or punitive damages.

8. Changes

We may update these Terms. Material changes will be communicated at least 30 days in advance via email or in-app notice. Continued use of the Service after the effective date constitutes acceptance.

9. Governing law

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any such dispute or claim. Nothing in these Terms affects the statutory rights of consumers that cannot be waived under applicable law.
